In theory nothing. However, Leica are quite happy to code Leica lenses for a fee. I am not sure they are so happy to code Zeiss ones.

Jonathan, I know your lens. Trust me, I shoot 28 a lot and
both CV 28s are great. Maybe not as good as the Leitz asphericals,
or the 25 Biogon. But questionable if the 28 Biogon is better, at least
to me.
Even Puts left good comments on the Ultron. It has less contrast than
other 28s, but very high resolution from f2.8 onwards. Bokeh second
to none. Check Todd's galleries, for instance.
And then there is the 28/3.5, very contrasty and high resolution and
only half a stop slower than the 28/2.8 offereings and so tiny.
